Item 8.01        Other Events.

 

Peregrine Pharmaceuticals, Inc. reports that on May 1, 2014, Judge Philip S. Gutierrez of the United States District Court for the Central District of California, granted the Company's motion to dismiss with prejudice the shareholder securities class action complaint filed in 2012 against the Company and members of its management by lead Plaintiff Anderson et al., Case No. 8:12-cv-01647-PSG-FMO. The complaint had alleged that the defendants violated federal securities laws by making allegedly false and misleading statements in 2012. The case was dismissed in its entirety with prejudice, resulting in a termination of all claims. The plaintiffs have not indicated whether they will appeal the dismissal.
