Item 8.01       Other Events.

 

On December 11, 2012, Peregrine Pharmaceuticals, Inc. (the “Company”) received a letter from The NASDAQ Stock Market LLC (“NASDAQ”) notifying the Company that it had regained compliance with NASDAQ Marketplace Rule 5550(a)(2), as the closing bid price of the Company’s common stock had been at or above $1.00 per share for at least 10 consecutive business days. The letter further stated that this matter, which had been previously communicated to the Company in NASDAQ’s noncompliance notice dated November 14, 2012, is now closed.

 

On December 11, 2012, the Company issued a press release announcing its receipt of the letter. A copy of the press release is attached hereto as Exhibit 99.1.

PEREGRINE REGAINS COMPLIANCE WITH NASDAQ MINIMUM BID PRICE LISTING REQUIREMENT

 

TUSTIN, CA -- 12/11/12 -- Peregrine Pharmaceuticals (NASDAQ: PPHM) today announced that it has received a letter from The NASDAQ Stock Market LLC notifying the company that it has regained full compliance with the NASDAQ Capital Market's minimum bid price continued listing requirement.

The letter received today noted that as of December 10, 2012, the company evidenced a closing bid price of its common stock in excess of the $1.00 minimum requirement for at least ten consecutive trading days. Accordingly, the company has regained compliance with NASDAQ Marketplace Rule 5550(a)(2) and the matter is closed.
