Peregrine Pharmaceuticals Announces Closing of Preferred Stock Offering

TUSTIN, CA -- (Marketwired) -- 02/19/14 -- Peregrine Pharmaceuticals, Inc. (NASDAQ: PPHM) (the "Company"), announced today that it has closed its previously announced underwritten public offering of 700,000 shares of its 10.50% Series E Convertible Preferred Stock (the "Series E Preferred Stock") at a public offering price of $25.00 per share. The Company has filed an application to list the shares of Series E Preferred Stock on the NASDAQ Capital Market under the symbol "PPHMP". If approved by NASDAQ, trading of the Series E Preferred Stock on the NASDAQ is expected to begin within 30 days after the date of initial issuance of the Series E Preferred Stock. Holders of Series E Preferred Stock may convert their shares, in whole or in part, into shares of the Company's common stock at a conversion price of $3.00 per share, representing a conversion premium of 75 percent over the last reported sale of Peregrine's common stock on February 10, 2014 (day prior to pricing). The aggregate gross proceeds from the offering, before deducting underwriting discounts and commissions and offering expenses payable by Peregrine, were approximately $17.5 million.

MLV & Co. LLC acted as sole book-runner for the offering.

Maxim Group LLC and National Securities Corporation, a wholly owned subsidiary of National Holdings, Inc. (OTCBB: NHLD), acted as lead managers for the offering and Empire Asset Management Company and I-Bankers Securities, Inc. acted as co-managers for the offering. Roth Capital Partners, LLC served as a financial advisor to Peregrine.

The Company has also granted the underwriters a 30-day option to purchase up to an aggregate of 105,000 additional shares of its Series E Preferred Stock. The Company intends to use the net proceeds from the offering for general corporate purposes.
