This Code of Business Conduct and Ethics ("Code") provides information about the standards of integrity that Avid Bioservices, Inc. and its subsidiaries require all employees, officers and members of its Board of Directors to follow. It does not address every situation or set forth every rule, nor is it a substitute for the responsibility of each of us to exercise good judgment. The Code should also be provided to and followed by Avid's agents and representatives, including temporary employees working for the Company through an outside agency, consultants, and independent contractors (collectively referred to as “consultants” hereinafter). Avid, in its sole discretion, may modify the terms of this Code at any time.
