This Registration Statement on Form S-8 is filed by the Registrant to register an additional 10,000,000 shares of common stock, par value $0.001 per share, of Peregrine Pharmaceuticals, Inc., (the “Company”) reserved and available for issuance under the 2010 Employee Stock Purchase Plan, as amended, pursuant to an amendment of such plan authorized by the stockholders of the Registrant on October 13, 2016.
